The proposed purchase accompanies an expansion of the companies’ work on Meta’s Muse models. Meta expects its two financing offerings to close on October 29, subject to closing conditions.

Nvidia plans to invest $3 billion in Meta’s equity offering, buying securities that represent ownership in the company. Al Jazeera described the announcement in its October 28, 2026 report.
Meta had previously announced two separate offerings: common shares and preferred shares that must later convert into common shares. Nvidia’s October 27 announcement describes its investment as proposed, rather than completed.
In the same October 27 announcement, Nvidia said the companies would expand their work on Meta’s Muse family of superintelligence (SI) models. Their stated goals are to improve training—building the models—and inference, using trained models, while lowering the overall cost of operating them. Nvidia also said Meta intends to deploy more of its computing infrastructure.
Meta says it intends to use proceeds from both offerings for general corporate purposes.
| Offering | Size | Public offer price |
|---|---|---|
| Preferred shares, sold through depositary units | 250 million units | $50 per unit |
| Class A common shares through forward-sale agreements | $25 billion, increased from $22.5 billion | $625 per share |
Each depositary unit represents one-twentieth of a preferred share. Unless converted earlier, those preferred shares are scheduled to convert into common shares for settlement around August 15, 2029.
The common-share offering uses forward-sale agreements: banks initially sell borrowed shares, and Meta later issues shares in exchange for cash to settle the contracts. Meta expects no proceeds from that offering at the initial closing. It expects about $24.9 billion before expenses upon settlement, subject to contractual price adjustments and other provisions.
For existing shareholders, issuing additional common shares can reduce their percentage ownership. Nvidia has not disclosed which securities it will buy, its resulting ownership percentage or detailed purchase terms, and has not confirmed completion of its purchase.
| Company | Change |
|---|---|
| Nvidia | Up almost 1% |
| Meta | Down 1.64% |
Meta expects both offerings to close on October 29, 2026, subject to closing conditions; neither depends on completion of the other. Settlement of the common-share forward-sale agreements, when Meta expects to receive that financing, is anticipated on or before November 19, 2027.

Meta has enlarged its share offering to $97.5 billion as it accelerates investment in superintelligence (SI) infrastructure. The companies plan closer work on Meta’s Muse assistant to improve performance and reduce costs.
