Nelson Peltz’s Trian Fund Management is offering $1.4 billion to take restaurant chain Wendy’s private, Fortune said in its November 1 report, the sole source for the proposed deal. Wendy’s board said it had formed a committee to review the proposal. It is not an agreed acquisition.
The proposal follows earlier takeover interest in 2022 and February 2026. Trian submitted the current offer during the week of the November 1 report. The exact submission date, per-share price, valuation basis and whether the proposal is binding remain unclear.
Trian owns 16% of Wendy’s and has held shares since 2005. Peltz’s son Brad Peltz and former Trian partner Peter May serve on the chain’s board.
In a letter to the board, Peltz said Wendy’s needs significant capital investment to reduce debt and carry out its turnaround. TD Cowen argued that private ownership makes sense because the recovery is likely to take time, citing pressure on lower-income consumers and weakness in the fast-food burger market.
Investor Blackwells Capital accused Peltz of opportunistically renewing his interest after Wendy’s shares fell. It also blamed his longstanding influence for the company’s problems and stock decline. A Trian spokesperson declined to comment.
Wendy’s US sales at established restaurants fell 7% in its most recent quarter, the sixth consecutive decline, while visits fell 12.5%. Net income fell 40% in the first half of 2026. The chain carries $2.4 billion in debt, roughly equivalent to its annual revenue.
Wendy’s operates mostly through franchisees—businesses that run restaurants under its brand. Its corporate revenue therefore reflects its share of restaurant sales, plus franchise rent and fees, rather than all the money customers spend at its restaurants.

The judge found that Trump had not adequately alleged actual malice, dismissing the claim with prejudice so it cannot be refiled.
In May 2026, Wendy’s hired former Potbelly executives Bob Wright as CEO and Steve Cirulis as chief financial officer. Wright became its fourth CEO in three years.
With the proposal under review, Wendy’s next scheduled financial update is its third-quarter earnings report. The November 1 report said the results were due on Thursday, with analysts expecting US sales at established restaurants to fall about 6%.
