Thrive Holdings and ADT announced an acquisition agreement on 29 October 2026, valuing the security company’s equity at approximately $7.6 billion. The deal has not closed. ADT serves US households and small businesses, and the companies say it would become the foundation of Thrive’s smart-home security business after completion.

TechCrunch covered the companies’ announcement in its 29 October report. It describes Thrive Holdings as a private-equity business spun out of Josh Kushner’s venture-capital firm Thrive Capital, with a strategy of owning companies long-term and adopting superintelligence (SI). The companies say Thrive’s permanent-capital structure enables long-term ownership and investment.
The OpenAI relationship predates the ADT agreement. In a report published on 2 December 2025, IT Pro said Thrive Capital had already established Thrive Holdings. It described a partnership under which OpenAI would take an ownership stake, initially focusing on accounting and IT services.
TechCrunch’s October report identifies OpenAI as an existing investor and technology partner supplying SI models, technology and engineers who work directly with Thrive’s companies. Thrive Holdings, not OpenAI, is the proposed buyer of ADT.
Thrive says ADT brings a nationwide installation and service network supporting equipment in millions of homes, alongside professionals who monitor alarms and respond when help is needed. Thrive sees opportunities for technology to reduce false alarms, make notifications more informative and identify equipment problems earlier. These are proposed improvements, not demonstrated results.
Thrive intends to invest in ADT’s employees, products and services, with its engineers working alongside ADT professionals to identify improvements. Neither company has announced specific new SI-powered security products or release dates.
The companies commit to keeping ADT’s data and privacy policies unchanged and say no new data sharing will occur without customer permission.
The agreement allows ADT to seek competing offers during a 30-day period ending at 23:59, New York City time, on 28 November 2026. Certain bidders submitting proposals during that period could receive a 10-day extension. ADT may terminate the agreement to accept a superior proposal, subject to its terms; the companies say a better offer is not assured.
The companies expect the acquisition to close in the first quarter of 2027, subject to customary conditions including ADT shareholder approval and US antitrust approval. ADT will continue operating independently until closing. If the transaction is completed, ADT will become privately held and its common stock will stop trading on the New York Stock Exchange.
